By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use our Services. These Terms constitute a legally binding agreement between you and Vector 3 Syndicate.

2. Eligibility & Membership

Access to Vector 3 Syndicate is by invitation or application only. Membership is subject to our sole discretion and approval. To be eligible, you must:

• Be at least 18 years of age;
• Be legally capable of entering into binding contracts;
• Complete and submit a membership application and be approved by Vector 3 Syndicate;
• Comply with all applicable federal, state, and local laws and regulations.

We reserve the right to accept or reject any application without providing a reason, and to revoke membership at any time if these Terms are violated.

3. Nature of Services – Not Investment Advice

IMPORTANT: Vector 3 Syndicate provides information, deal flow, and access to investment opportunities for informational and networking purposes only. Nothing on our platform or in our communications constitutes:

• Investment advice or a recommendation to buy, sell, or hold any security;
• Legal, tax, accounting, or financial advice;
• An offer or solicitation to buy or sell securities in any jurisdiction where such offer or solicitation is unlawful.

All investment decisions are made solely at your own risk and discretion. Past performance of any investment discussed through our platform is not indicative of future results. You should consult with qualified legal, financial, and tax advisors before making any investment decision.

4. Accredited Investor Status

Certain investment opportunities shared through Vector 3 Syndicate may be available only to “accredited investors” as defined under Rule 501 of Regulation D of the Securities Act of 1933, or to persons meeting equivalent standards under applicable law. By accessing deal-specific materials, you represent and warrant that:

• You meet the applicable accredited investor criteria, or other suitability requirements as specified for each opportunity;
• You understand and can bear the full economic risk of loss of any investment;
• You have sufficient knowledge and experience in financial and business matters to evaluate the merits and risks of any investment.

Vector 3 Syndicate reserves the right to require documentation verifying your investor status before granting access to certain materials.

5. Confidentiality

As a member of Vector 3 Syndicate, you may receive access to confidential and proprietary information, including but not limited to deal terms, company financials, founder information, co-investor details, and internal analyses (“Confidential Information”). You agree to:

• Keep all Confidential Information strictly confidential;
• Not disclose, share, publish, or distribute any Confidential Information to any third party without our prior written consent;
• Use Confidential Information solely for the purpose of evaluating investment opportunities within the Syndicate;
• Notify us promptly if you become aware of any unauthorized disclosure.

This confidentiality obligation survives the termination of your membership and these Terms.

6. Intellectual Property

All content published through Vector 3 Syndicate, including newsletters, analyses, deal memos, graphics, logos, and other materials, is the exclusive property of Vector 3 Syndicate or its licensors and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and view our content solely for your personal use as a member.

You may not:

• Copy, reproduce, republish, or distribute any content without our written permission;
• Use our content for commercial purposes;
• Remove or alter any copyright, trademark, or other proprietary notices.

7. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
• Use the platform to engage in any fraudulent, deceptive, or manipulative conduct;
• Attempt to gain unauthorized access to other members’ accounts or our systems;
• Share your account credentials with any third party;

9. Disclaimers and Limitations of Liability

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, VECTOR 3 SYNDICATE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL VECTOR 3 SYNDICATE, ITS MANAGERS, MEMBERS, OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR ANY INVESTMENT MADE IN CONNECTION THEREWITH, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to Vector 3 Syndicate in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Vector 3 Syndicate and its managers, members, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

• Your access to or use of the Services;
• Your violation of these Terms;
• Your violation of any applicable law or regulation;
• Any investment decision made based on information provided through our platform.

11. Termination

We reserve the right to suspend or terminate your membership and access to the Services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to access the Services immediately ceases;
• Your confidentiality and intellectual property obligations under these Terms survive;
• Any provisions that by their nature should survive termination shall do so.

You may cancel your membership at any time by contacting us in writing.

12. Governing Law and Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA), with proceedings to be conducted in English.

You waive any right to participate in a class action lawsuit or class-wide arbitration related to any dispute with Vector 3 Syndicate.

13. Amendments

We reserve the right to modify these Terms at any time. We will notify members of material changes via email or a prominent notice on our platform. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms.

We encourage you to review these Terms periodically to stay informed of any updates.

14. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vector 3 Syndicate with respect to the Services.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
