Terms of Service

Vector 3 Ventures Corporation — Last Revised: September 4, 2026

Vector 3 Ventures Corporation (“Vector 3,” “Company,” “we,” “us,” or “our”) is a Delaware corporation that provides fundraising advisory and execution-support services to early-stage companies, including the Fundraising Diagnosis, Fundraising Preparation, and Fundraising Motion services (collectively, the “Services”), and operates the website located at [vector3vc.com] and related subdomains (the “Site”).

These Terms of Service (“Terms”) govern your access to and use of the Site and, to the extent not otherwise addressed by a separate agreement described in Section 2, your use of the Services. By accessing the Site or purchasing any Service, you agree to be bound by these Terms.

Note: This document governs the website and the general relationship between Vector 3 and visitors/clients. It does not replace the Master Service Agreement, the applicable Statement of Work (Fundraising Preparation or Fundraising Motion), or the Fundraising Diagnosis Terms of Service, each of which governs the specific engagement it covers. Where these Terms conflict with one of those agreements on a matter that agreement specifically addresses, that agreement controls.

1. Eligibility

You must be at least 18 years old to use the Site or purchase any Service. By using the Site or purchasing a Service, you represent that you are at least 18 years of age and, if you are acting on behalf of a company or other legal entity, that you have the authority to bind that entity to these Terms and to the applicable service agreement.

2. Our Services

Vector 3 offers the following Services, each governed by its own agreement in addition to these Terms:

• Fundraising Diagnosis — a single paid advisory call and written report, purchased and scheduled directly through the Site and governed by the Fundraising Diagnosis Terms of Service presented to you at checkout.

• Fundraising Preparation and Fundraising Motion — multi-week advisory and execution-support engagements, each governed by a Master Service Agreement and a service-specific Statement of Work signed separately by you and Vector 3.

• Informational content — the Site may describe other programs Vector 3 offers or is exploring, including a fundraising syndicate ('Syndicate'). Descriptions of Syndicate or similar programs on the Site are provided for informational purposes only, do not constitute an offer or solicitation of any kind (including an offer to sell or buy any security), and do not create any agreement, engagement, or relationship between you and Vector 3. If and when Vector 3 makes such a program available, it will be governed by separate documentation provided at that time.

3. Use of the Site

Subject to your compliance with these Terms, Vector 3 grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own personal or internal business purposes. You may not: (a) copy, modify, or create derivative works of the Site or its content; (b) reverse engineer or attempt to extract the source code of the Site; (c) use any automated system (bots, scrapers, or similar) to access the Site; (d) interfere with or disrupt the Site or its underlying infrastructure; or (e) use the Site for any unlawful purpose or in a way that infringes the rights of others.

4. Booking and Payment

Certain Services, including the Fundraising Diagnosis, can be purchased and scheduled directly through the Site. Fees, payment timing, and refund/rescheduling terms for each Service are set out in that Service's specific agreement (the Fundraising Diagnosis Terms of Service, or the applicable Statement of Work). Vector 3 currently supports payment via credit/debit card processed by a third-party payment processor, PayPal, and wire transfer, depending on the Service purchased; the available options are presented to you at checkout or in the applicable Statement of Work.

Vector 3 does not store your full payment card number. Payment processing is handled by our third-party payment processor(s), who receive the payment information necessary to complete your transaction subject to their own terms and privacy practices.

5. AI-Assisted Service Delivery

Vector 3 uses artificial intelligence tools, including models provided by Anthropic (“Claude”), to help analyze materials you provide (such as pitch decks, call notes, and, where you have consented to recording, call recordings or transcripts) and to help prepare drafts of reports and deliverables. A Vector 3 team member reviews AI-assisted output before it is delivered to you. Additional detail on how this affects your information is in our Privacy Notice.

6. Recording of Calls

Calls conducted as part of any Service may be recorded, but only where you have given your consent at or before the start of the call. Recordings are used solely for Vector 3's internal purposes — including preparing reports, quality review, and improving our methodology — and are not distributed externally or made public. You may decline to have a call recorded; declining does not affect your ability to receive the Service.

7. Intellectual Property

The Site and its content — including text, graphics, logos, and design — are owned by Vector 3 or its licensors and are protected by intellectual property laws. Nothing in these Terms transfers any ownership of the Site or its content to you. Ownership of deliverables produced for you under a specific Service, and the license you receive to use them, is governed by that Service's specific agreement.

8. No Professional Advice; No Guarantee of Outcome

Vector 3 is not a registered investment advisor, broker-dealer, or law firm. Nothing on the Site or provided as part of any Service constitutes financial, legal, investment, tax, or accounting advice. You should consult qualified professionals before acting on any guidance Vector 3 provides.

Vector 3 does not guarantee any specific fundraising outcome, valuation, investor meeting, investor interest, or commercial result. Benchmark figures, case precedents, and third-party data referenced by Vector 3 are shared for informational context only.

9. Regulatory Status

Vector 3 is not a broker-dealer, investment bank, placement agent, or licensed financial intermediary, and nothing on the Site or in connection with any Service constitutes an offer to sell or a solicitation to buy securities. Vector 3 does not raise capital on your behalf, does not negotiate investment terms, and does not receive compensation contingent on, or calculated as a percentage of, the amount of capital raised. Services are limited to advisory, preparatory, and outreach-support work; you remain solely responsible for all investor communications, negotiations, and any resulting securities transactions. This Section is subject to, and does not limit, Section 8 (No Professional Advice; No Guarantee of Outcome) and Section 13 (Disclaimer of Warranties).

10. Third-Party Services and Referrals

The Site may reference or link to third-party services, including a design-support referral (currently provided by a 500 Global mentor specializing in pitch decks) and the various software platforms Vector 3 uses to deliver Services (e.g., Notion, Canva, Google Workspace, Slack, Lemlist). These third parties are not controlled by Vector 3, and any engagement you enter into with them is governed solely by their own terms. Vector 3 is not responsible for the acts, omissions, availability, or performance of any third-party service.

11. Fundraising Motion — Third-Party Account Access

If you engage the Fundraising Motion service, you will be asked to connect your LinkedIn, email, or other relevant accounts so Vector 3 can deploy outreach campaigns on your behalf through third-party platforms. Vector 3 follows a standard outreach methodology designed to reduce the risk of those accounts being flagged or restricted by the relevant platform, and will disclose to you, before campaign launch, the platform policies Vector 3 is aware of that are relevant to that methodology. However, Vector 3 does not control the policies or enforcement decisions of any third-party platform (including LinkedIn) and is not responsible for any suspension, restriction, or other action a platform takes against your account. Additional terms governing this access are set out in the Fundraising Motion Statement of Work.

12. Indemnification

You agree to indemnify and hold Vector 3 harmless from any claims, damages, liabilities, and reasonable expenses (including attorneys' fees) arising from: (a) your breach of these Terms; (b) your violation of any law or the rights of a third party; or (c) content or materials you provide to Vector 3 that infringe or misappropriate the rights of a third party.

13. Disclaimer of Warranties

THE SITE AND ANY INFORMATION MADE AVAILABLE ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. VECTOR 3 DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VECTOR 3'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). IN NO EVENT WILL VECTOR 3 BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR LOST-PROFIT DAMAGES. THIS SECTION DOES NOT LIMIT LIABILITY ARISING UNDER A SEPARATE SERVICE AGREEMENT, WHICH IS GOVERNED BY THE LIMITATION OF LIABILITY PROVISION IN THAT AGREEMENT.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue there.

16. Changes to These Terms

Vector 3 may update these Terms from time to time by posting a revised version on the Site with an updated “Last Revised” date. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms. Material changes affecting an active engagement will not apply retroactively to that engagement's specific agreement without your consent.

17. Termination

Vector 3 may suspend or terminate your access to the Site at any time, with or without cause, including for violation of these Terms. Termination of Site access does not affect any active Service engagement, which remains governed by its own agreement.

18. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. Vector 3's failure to enforce a provision is not a waiver of that provision. You may not assign these Terms without Vector 3's prior written consent; Vector 3 may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control (force majeure).
